一 合同的標(biāo)的、價(jià)格和總價(jià)

四 包裝

五 商品的品質(zhì)和保證

六 索賠

如售方所供貨物的品質(zhì)，不符合合同規(guī)定的技術(shù)條件或與雙方確認(rèn)的樣品不符時(shí)，購(gòu)方有權(quán)要求售方或者削價(jià)、或者更換貨物。如果售方自收到異議之日起60天內(nèi)不作最后決定，或不同意檢驗(yàn)證書(shū)中確定的削價(jià)百分比時(shí)，則購(gòu)方有權(quán)將品質(zhì)不合格的貨物按售方提供的地址退給售方。售方應(yīng)在本合同規(guī)定的異議審理期限內(nèi)將返回地址通知購(gòu)方。

6 傭金

7 市場(chǎng)情況報(bào)告
乙方每三個(gè)月向甲方提供一次有關(guān)當(dāng)時(shí)市場(chǎng)情況和用戶(hù)意見(jiàn)的詳細(xì)報(bào)告。同時(shí)，乙方應(yīng)隨時(shí)向甲方提供其它供應(yīng)商所給的類(lèi)似商品的樣品及其價(jià)格、銷(xiāo)售情況和廣告資料。

Party B shall forward once every three months to Party A detailed reports on current market conditions and of consumers comments. 8 宣傳廣告費(fèi)用
在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷(xiāo)地區(qū)內(nèi)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說(shuō)明，由甲方審閱同意。

9 協(xié)議有效期

Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
11 其它條款
（1） 甲方不得向經(jīng)銷(xiāo)地區(qū)其它買(mǎi)主供應(yīng)本協(xié)議所規(guī)定的商品，如有詢(xún)價(jià)，當(dāng)轉(zhuǎn)給乙方洽辦。若有買(mǎi)主希望從甲方直接訂購(gòu)，甲方可以供貨，但甲方須將有關(guān)銷(xiāo)售確認(rèn)書(shū)副本寄給乙方，并按所達(dá)成交易的發(fā)票金額給乙方_____%的傭金。

11 Other Terms&Conditions
(1) Party A shall not supply the contracted commodity to any other buyers in the above mentioned territory. Direct enquiries, if any , will be referred to Party B. Howerver, should any other buyers wish to deal with Party A directly, Party A may do so, But Party A shall send to Party B a copy of sales confirmaiton and give party B_____% commission(s) concluded.
(2) Should Party B fail to pass on his orders to Party A in a period of _____ months for a minimum of _____, Party A shall not bind himself to this Agreement.

如商品在保證期內(nèi)出現(xiàn)缺陷，供貨一方應(yīng)排除缺陷或更換有缺陷的部分并負(fù)擔(dān)費(fèi)用。
第八條 發(fā)貨通知
售方應(yīng)在發(fā)貨后10天內(nèi)以電傳向購(gòu)方通知有關(guān)貨物自生產(chǎn)廠發(fā)運(yùn)的情況，并注明發(fā)運(yùn)日期，合同號(hào)，發(fā)動(dòng)機(jī)號(hào)，件數(shù)，毛重和鐵路運(yùn)單號(hào)。
第九條 仲裁
由本合同所產(chǎn)生或與本合同有關(guān)的一切糾紛，應(yīng)盡可能通過(guò)雙方談判解決。如雙方不能達(dá)成協(xié)議，可提交被告國(guó)對(duì)外貿(mào)易仲裁機(jī)關(guān)審理，中方國(guó)家對(duì)外貿(mào)易仲裁為中國(guó)對(duì)外貿(mào)易促進(jìn)委員會(huì)，外方為_(kāi)________。
第十條 不可抗力條款
雙方任何一方發(fā)生不可抗力情況（如火災(zāi)、自然災(zāi)害、戰(zhàn)爭(zhēng)、各種軍事行動(dòng)、封鎖、禁止進(jìn)出口或不以雙方意志為轉(zhuǎn)移的其它情況），使本合同全部或部分義務(wù)無(wú)法履行時(shí)，履行本合同義務(wù)的期限可相應(yīng)推遲，在此期間合同義務(wù)仍然有效。
如果不可抗力情況持續(xù)30天以上，其中一方有權(quán)通知另一方免除繼續(xù)履行合同義務(wù)，此時(shí)任何一方無(wú)權(quán)向?qū)Ψ教岢鲅a(bǔ)償可能的損失。
無(wú)法履行本合同義務(wù)方應(yīng)將不可抗力情況發(fā)生和結(jié)束及影響合同義務(wù)履行情況立即通知對(duì)方。
不可抗力發(fā)生和持續(xù)的時(shí)間應(yīng)以售方或購(gòu)方有關(guān)商會(huì)出具的證明書(shū)證明。
第十一條 其它條件

第一條合同標(biāo)的和價(jià)格

第二條供貨期

第三條結(jié)算
本合同所供貨物之價(jià)款，在易貨基礎(chǔ)上以美元計(jì)價(jià)，不通過(guò)銀行記帳。貨物交接后，由售方商務(wù)代表到購(gòu)方結(jié)算，或?qū)⒔Y(jié)算憑證寄給購(gòu)方進(jìn)行結(jié)算，并憑下列單據(jù)辦理：
1.發(fā)貨帳單2份；
2.蓋有發(fā)貨站戳記的鐵路運(yùn)單副本1份；
3.明細(xì)單2份；
4.品質(zhì)證明書(shū)1份。
購(gòu)方接到上述單據(jù)核對(duì)無(wú)誤后給售方出以等值易貨貿(mào)易結(jié)算憑證予以確認(rèn)。
第四條包裝
賣(mài)方應(yīng)在包裝貨物時(shí)采取所有預(yù)防措施以保證貨物在儲(chǔ)存、海運(yùn)、陸運(yùn)、吊裝時(shí)完好無(wú)損。
第五條商品的品質(zhì)和保證
所供商品的品質(zhì)應(yīng)由品質(zhì)證明書(shū)加以確認(rèn)，該證書(shū)確認(rèn)商品品質(zhì)符合生產(chǎn)國(guó)的技術(shù)條件和國(guó)家標(biāo)準(zhǔn)。
所供商品的品質(zhì)性能應(yīng)與標(biāo)準(zhǔn)樣品相一致，標(biāo)準(zhǔn)樣品在簽定合同時(shí)交給買(mǎi)方，在保證期內(nèi)留存買(mǎi)方并在對(duì)供貨品質(zhì)發(fā)生爭(zhēng)議的情況下供雙方使用。
保證期為供貨后9個(gè)月。
第六條索賠
購(gòu)方可按________________(兩國(guó)貿(mào)易文件或協(xié)定)所規(guī)定的期限和程序在下列方面提出索賠。
1.貨物的數(shù)量
如貨物數(shù)量與明細(xì)單注明的數(shù)量不符，在包裝完整和沒(méi)有外部損傷(內(nèi)部短缺)的情況下，購(gòu)方有權(quán)憑檢驗(yàn)證書(shū)提出索賠。 如果貨物的發(fā)運(yùn)系按發(fā)貨人確定的重量發(fā)出，而國(guó)境交接站雙方鐵路交接中發(fā)現(xiàn)不足，并不屬鐵路方面的過(guò)失，可根據(jù)雙方鐵路方面編制的商務(wù)記錄提出索賠。
2.貨物的質(zhì)量
如貨物品質(zhì)與合同規(guī)定不符時(shí)，可根據(jù)商品檢證或無(wú)利害關(guān)系的權(quán)威機(jī)關(guān)的代表參與制成的記錄提出異議。
如售方所供貨物的品質(zhì)，不符合合同規(guī)定的技術(shù)條件或與雙方確認(rèn)的樣品不符時(shí)，購(gòu)方有權(quán)要求售方或者削價(jià)、或者更換貨物。如果售方自收到異議之日起60天內(nèi)不作最后決定，或不同意檢驗(yàn)證書(shū)中確定的削價(jià)百分比時(shí)，則購(gòu)方有權(quán)將品質(zhì)不合格的貨物按售方提供的地址退給售方。售方應(yīng)在本合同規(guī)定的異議審理期限內(nèi)將退貨地址通知購(gòu)方。
如果在每批貨物中發(fā)現(xiàn)殘次品占20％以上，收貨人則將退回全部貨物。由于質(zhì)量原因退回貨物時(shí)所產(chǎn)生的全部費(fèi)用由售方承擔(dān)。
在這種情況下，售方?jīng)]有免除向購(gòu)方補(bǔ)發(fā)數(shù)量相同并符合合同規(guī)定的貨物責(zé)任。
在終點(diǎn)站檢驗(yàn)貨物的數(shù)量和／或質(zhì)量所需要的一切費(fèi)用由購(gòu)方承擔(dān)。
第七條不可抗力條款
由于發(fā)生不可抗力情況，而直接影響本合同的履行時(shí)，售方對(duì)本合同受不可抗力影響的部分義務(wù)或全部義務(wù)無(wú)法履行的責(zé)任不予承擔(dān)。經(jīng)雙方協(xié)商，履行本合同義務(wù)的期限也可相應(yīng)推遲。發(fā)生不可抗力情況一方應(yīng)自災(zāi)情結(jié)束之日起10日內(nèi)將有關(guān)發(fā)生不可抗力的性質(zhì)、毀壞程度及影響合同履行的情況書(shū)面通知對(duì)方。如對(duì)方有異議，發(fā)生不可抗力情況一方憑其所在國(guó)有權(quán)機(jī)關(guān)的認(rèn)證書(shū)豁免責(zé)任。
第八條仲裁
由本合同所產(chǎn)生或與本合同有關(guān)的一切糾紛，應(yīng)盡可能通過(guò)雙方談判解決。如雙方不能達(dá)成協(xié)議，則提交____國(guó)對(duì)外經(jīng)濟(jì)貿(mào)易仲裁機(jī)關(guān)仲裁。
